Our Members
The PFAA is a membership-based association (as a Washington State non-profit and in alignment with 501(c)6 requirements)
Eligible members are invited to join the PFAA as Voting Members (aka Performance Members) upon meeting criteria - numbers will be refreshed as we progress through qualifying events

To qualify as a Performance Member, individuals must:
Be 18 or older
Have qualified for or been invited as an individual in the Elite (or similarly designated) division of recognized global functional fitness competitions* in the past 24 months**
Actively opt-in to be a member (accept invitation in writing)
*Currently recognized events include:
CrossFit Games
iF3 Super Worlds (division: Male/Female Senior Individual Medley Podium Finishers)
Rogue Invitational
Wodapalooza - Miami
World Fitness Project (Pro Division)
This list may be updated by the Board, agents, or employees as events meet the following criteria:
Participation by elite-level athletes
A merit-based qualification or invitation process
Either a minimum $300,000 prize purse for the Elite division or designation as a World Championship tied to Olympic inclusion efforts
**The 24-month requirement may be extended by the Board for athletes who miss time due to parental leave or injury. It does not apply to those who are retired or banned under anti-doping policies unless approved by the Board.

The Board has the authority to establish additional membership classes and to define the qualifications, rights, privileges, and duties of each class (as an example, this may include Non-Voting Membership for retired athletes)

The PFAA does not currently charge dues to its members

Voting Members meet annually (either in person or remotely) to handle key business, including bi-annual Board elections
Special Meetings
Special meetings may be called by the Board, the President, or by 10% or more of the Voting Members - these meetings must specify the agenda or topics of the meeting at the time of notice
Meeting Notices
Members receive notice of meetings 10–60 days in advance, via email or commonly used electronic communication methods (e.g., text or WhatsApp) -
Voting Members vote to elect the Board of Directors to represent their interests (see Board of Directors for more information)
A quorum is met with 40% of Voting Members present or represented by proxy (must be designated in advance)
Each Voting Member has one vote
Voting may occur electronically
54% of PFAA Members voted in the November 2024 election of our current Board of Directors

Membership may be suspended or terminated if:
A member resigns in writing
A member is banned due to anti-doping violations (e.g., WADA, CrossFit, iF3)
A member is removed by the Board for conduct (see Bylaws Appendix A: Code of Conduct)
A member no longer meets current eligibility requirements

The Board must have between 3 and 9 Directors

Voting Members elect Directors from their peer group (must be PFAA Performance Members at the time of election) to serve a two-year term; See Our Members for additional information regarding Member Voting
In 2020, PFAA Founding Directors appointed an Interim Board of Directors to establish the PFAA and its operations and bylaws
In 2022, the PFAA held its inaugural election, pursuant to its bylaws

A Director can resign at any time by providing written notice to the Chair or a designated officer; or be removed by vote of either the Voting Members or a majority of the current Board
Vacancies are filled by appointment from the Board and last until the original term ends or the next voting cycle, whichever is sooner
In August 2024, the Board of Directors appointed Annie Thorisdottir to fill a vacancy in this manner following the death of Board Member Lazar Đukić, rest in peace

A majority of Directors currently in office is required to conduct official business (such as updates to our bylaws, review of annual goals, and the appointment of officers)
Decisions are made by a majority vote at a meeting with quorum

Board meetings may be held anywhere, either in-person or virtual, and can be called by the President, Secretary, or half the current Directors
Regular meetings do not require notice if pre-scheduled; however, special meetings require at least two days’ notice

The Board may take action without a meeting if all Directors agree in writing - this has the same effect as a unanimous vote

Directors are not paid for their service but may be reimbursed for reasonable expenses related to their duties

The PFAA carries on activities that are permitted by an organization exempt from federal income tax as an organization described in section 501(c)(6); however, as we have not had cash flow, we held on filing Form 1024 Application for Recognition of Exemption
In February 2025, the PFAA filed Form 1024, Application for Recognition of Exemption and will update this section upon receiving a Determination Letter from the US Internal Revenue Service
